The agreement that governs your use of Boxley.

These Terms are provided for transparency and are not legal advice. Several provisions below — including payment, disclaimers, limitation of liability, indemnification, and dispute resolution — carry significant legal effect and should be reviewed and finalized by qualified counsel before you rely on them.
These Terms of Service ("Terms") are a binding agreement between you and Boxley Technologies, Inc., which operates Boxley Dispatch ("Boxley," "we," "us," or "our"), and govern your access to and use of boxleydispatch.com and our software, dispatch, directory, marketplace, and related services (the "Services"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy.
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms, and "you" refers to that business.
Boxley provides software and tools that help carriers, owner-operators, fleets, brokers, shippers, and customers post and find loads, dispatch and track shipments, manage documents and settlements, request residential/local deliveries, and connect with service providers. Boxley is a technology platform. Except where we expressly state otherwise in a separate written agreement, Boxley is not a motor carrier, freight broker, freight forwarder, or party to the transportation or service contracts entered into between users, and does not take possession of freight. Users are solely responsible for their own compliance, performance, and agreements with one another.
You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. Carriers, owner-operators, and brokers must hold and maintain valid operating authority, registration, and insurance as required by applicable law.
Certain features — including the residential/local delivery marketplace — allow a customer to pay for a job through Boxley. Where Boxley collects payment, it does so as a payment-facilitation convenience: Boxley collects the customer's payment and applicable service fee, and releases the provider's payout after the job is confirmed complete (for example, upon a signed proof of delivery). This payment flow does not make Boxley a broker, carrier, or party to the underlying transportation service. Payment processing is handled by a third-party processor subject to its terms. You authorize us and our processor to charge your selected payment method for amounts due. You are responsible for the accuracy of payment information and for any chargebacks or disputes you initiate without justification.
You are responsible for complying with all laws and regulations applicable to your role, including FMCSA, DOT, state, and local requirements, licensing, insurance, safety, hours-of-service, and cargo handling. You agree that information you provide about authority, insurance, equipment, loads, and shipments is accurate and current. You are responsible for the performance of your obligations to other users.

We may investigate, suspend, or terminate accounts and remove content that we believe violate these Terms or harm users or the platform. See our Acceptable Use Policy for more detail.
You retain ownership of content you submit. By submitting content (including directory listings, testimonials, and load or shipment details), you grant Boxley a non-exclusive, worldwide, royalty-free license to host, display, and use that content to operate and promote the Services. You represent that you have the rights to submit it and that it is accurate. Public directory listings are displayed publicly and are subject to verification and removal.
The Services, including software, design, text, graphics, logos, and the "Boxley" and "Boxley Dispatch" names and marks, are owned by Boxley Technologies, Inc. or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended business purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works except as permitted by law.
The Services integrate or link to third-party products and providers. We are not responsible for third-party services, and your use of them is governed by their terms. References to partners do not imply endorsement beyond the stated relationship.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Boxley does not warrant that the Services will be uninterrupted or error-free, and does not guarantee the availability of loads, the creditworthiness or performance of any user, payment by any party, or any particular result. Boxley is not responsible for the acts, omissions, or conduct of any user.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOXLEY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO BOXLEY FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Boxley and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, your transactions with other users, or your violation of these Terms or applicable law.
You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, for any violation of these Terms or to protect the Services or other users. Upon termination, the provisions that by their nature should survive (including payment obligations, disclaimers, limitations of liability, and indemnification) will continue to apply.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. We may modify these Terms from time to time. We will update the "Last updated" date and, for material changes, provide additional notice where appropriate. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
